These terms apply when you use www.lema.co.za and to every quote we issue and every order we accept, whether you order on the website, by e-mail or through your own purchasing system. By opening an account, accepting a quote or placing an order, you agree to them.

If you have a signed supply agreement with us, that agreement applies where it differs from these terms. Terms printed on your purchase order apply only if we agree to them in writing.

Terms in bold limit our liability, place a risk or responsibility on you, or ask you to indemnify us. Please read them carefully before you order.

Who we are

Lema International Trading (Pty) Ltd (“Lema”, “we”, “our”) supplies corporate gifts, clothing and promotional products, and brands them in-house in Honeydew, Johannesburg. Our contact details and company information are under Company information at the end of these terms.

Consumers and the law

Some of these terms treat consumers differently. A consumer is anyone protected by the Consumer Protection Act 68 of 2008 (CPA): an individual, or a company or other legal entity whose asset value and annual turnover are both below R2 million, the threshold set under section 6 of the CPA. Some rights under the Electronic Communications and Transactions Act 25 of 2002 (ECTA) apply only to individuals buying for their own use.

Nothing in these terms takes away a right that the CPA or ECTA gives you.

Accounts

Opening an account

You need an account to order on the website. Without one, you can browse the public range and list prices, but you cannot place an order.

Apply through the form on the My account page. We check every application before we open an account, and we may decline one. Once we approve it, we e-mail you a link to set your password.

You must be 18 or older to open an account. If you apply on behalf of a business, you confirm that you are authorised to act for it.

Trade accounts

Trade accounts are for businesses. A trade account shows the range and prices agreed for your business and gives access to bulk ordering and quotes. We decide which range and prices apply to each trade account and may change them. A change does not affect a quote that is still valid or an order we have already accepted.

Keeping your account secure

Keep your login details private and your account details, including delivery addresses, up to date. You are responsible for orders placed through your account, including by people you allow to use it. Tell us immediately if you think someone has used your account without your permission.

Quotes

  • We quote on request through the contact page or by e-mail. Trade accounts also find their quotes under Quotes in My account.
  • A quote is valid for the period stated on it, or for 14 days from its date if it states none.
  • A quote is based on the products, quantities, artwork and delivery details you gave us. If any of these change, the price may change.
  • A quote does not reserve stock. We confirm stock when we accept your order.

Orders and acceptance

Placing an order

  • Before you place an order, the checkout shows your full order. You can correct quantities, addresses and other details, or leave without ordering.
  • Placing an order, or accepting a quote, is an offer to buy. The e-mail you receive straight after checkout confirms that we have your order; it does not accept it.
  • We accept your order when we confirm it in writing or when we dispatch the goods, whichever happens first. The contract is formed at that point.
  • We may decline an order, for example if the goods are unavailable, the price is wrong or we cannot brand the artwork. If we decline, we refund what you paid in full, within 30 days at the latest.

Ordering from your purchasing system

If your business orders from its own purchasing system (PunchOut), the cart you send to that system is not an order. The order is made when we receive and accept your purchase order.

E-mail counts as writing

Quotes, proof approvals, order acceptances and notices sent by e-mail count as being in writing.

Prices

Prices are in South African rand (ZAR). Product prices on the website exclude VAT and branding. Before you pay, the checkout or your quote shows the full amount payable, including delivery.

Branding is quoted separately once we have your artwork.

Prices can change. The price that applies to your order is the one shown when you place it, or the one in a valid quote you accept.

If a quote or a price on the website contains an obvious, inadvertent mistake, we are not bound by it once we have corrected it and told you (section 23 of the CPA). If you have already paid, you may then cancel and we refund you in full.

Payment

If you order through PunchOut from your company’s purchasing system, payment is handled by that system under your company’s agreement with Lema. Nothing is paid on this site.

How to pay

  • At checkout, through Ozow, which takes payment directly from your bank account by instant EFT. Ozow processes the payment on its own secure payment page; we never see or store your online banking login details.
  • For quotes and invoices, by EFT to the bank account shown on the quote or invoice, using the reference given on it.

We start work once your payment reflects in our bank account, unless your trade account has credit terms. For branded orders, production starts once you have approved the proof and paid both the order and the branding quote.

Bank details

Our bank details do not change by e-mail. If you receive a message saying that they have changed, phone us on +27 11 794 2024 before you pay.

Trade credit

Credit is available only to trade accounts, and only on terms we have agreed with you in writing. We may ask for a credit application, references or security before we agree. We may change or withdraw credit terms for future orders by giving notice. If an account is overdue, we may hold further orders and deliveries until it is paid.

Branding and artwork

Your artwork

Send artwork as vector files (EPS or PDF). You can attach it at checkout or e-mail it to us. If artwork cannot be used as supplied, we tell you, and we may quote to redraw it.

Your right to use the artwork

By sending us artwork, logos, names or trademarks to brand, you confirm that you own them or have the owner’s permission to use them on the goods you order. You indemnify us against any claim that branding we produced from your artwork infringes someone else’s rights, including the reasonable cost of defending such a claim.

We may refuse artwork that we believe infringes someone else’s rights or is unlawful or offensive.

Proofs

Before production we send you a proof showing the artwork, colours, size and position on the product. Nothing is produced until you approve the proof in writing.

Check the proof carefully, including spelling, colours, size, position and quantities. We produce what you approve. Changes after approval may cost more and take longer.

Colour, size and placement

Branding is a physical process, so small differences from the proof are normal and are not defects:

  • Colours are matched as closely as the material and method allow. Pantone references guide the match, but the same reference looks different on different fabrics and surfaces, and every screen shows colour differently.
  • Embroidery uses the nearest available thread colour, and very fine detail or small text may need simplifying. The proof shows where this applies.
  • The size and position of the branding may differ from the proof by up to 5 mm.

If an exact colour or position matters to you, tell us before you approve the proof.

Quantities

Minimum quantities

Some products and branding methods have a minimum order quantity, because each job has to be set up. Your quote states any minimum that applies.

Over-runs and under-runs

A branding run can finish slightly above or below the quantity ordered, because items are used to set up machines and some are spoiled in production. On branded orders we may deliver up to 5% more or fewer items than you ordered.

  • We charge only for what we deliver, and refund or credit any shortfall.
  • Customers that are not consumers pay for extra items, up to 5% of the order, at the agreed unit price. Consumers do not pay for extra items.
  • If you need an exact quantity, tell us before you approve the proof.

Lead times

Lead times are estimates. They run from the later of your proof approval and your payment, or from your proof approval if your account has credit terms. Branding adds 1 to 5 days, depending on the method; the quote or order confirmation gives the expected date.

If you need the goods by a fixed date, such as an event, tell us before you order. A date is binding only if we confirm it in writing.

If you are an individual buying for your own use on the website or by e-mail and no delivery period has been agreed, we fulfil your order within 30 days of receiving it. If we miss the agreed period or those 30 days, you may cancel by giving us 7 days’ written notice (section 46 of ECTA).

Delivery

Where we deliver

We deliver within South Africa, to the address you choose at checkout or confirm on the quote. A delivery date you choose at checkout is a request until we confirm it.

Delivery charges

The checkout works out the delivery charge from the delivery address. It is an estimate until we confirm it. If the confirmed charge is lower, we refund or credit the difference. If it is higher, we charge the difference only if you agree to it.

Split delivery

If you have more than one saved address, you can split one order across several of them at checkout, choosing how many of each item go to each address. Each delivery has its own delivery charge.

Receiving the goods

Someone must be at the address to receive and sign for the goods. If a delivery fails because nobody is available or the address is wrong, we may charge for delivering again.

Check the goods when they arrive. Note any visible damage or shortage on the delivery note, and tell us within 10 business days after delivery, or within the period agreed for your trade account. For consumers, this does not limit your rights under the CPA, including your right to examine goods on delivery (section 19) and to return defective goods (section 56).

Risk and ownership

Risk in the goods passes to you when they are delivered to the delivery address and signed for, or when we hand them to a courier you appointed. The goods remain ours until we have been paid for them in full.

Cancellations

Before production

  • Unbranded goods: you may cancel at no charge before we dispatch them. If you are not a consumer and we brought stock in from a supplier specifically for your order, we may charge the supplier’s return costs.
  • Branded goods: you may cancel before you approve the proof. We refund what you paid, less the cost of any artwork or set-up work already done for your order, which we tell you before we deduct it.

After you approve the proof

Once you approve the proof, we buy, set up and brand goods made for you, which we cannot sell to anyone else. You may cancel only if we agree, and you then pay for the goods and work already bought, set up or produced. We refund anything you paid above that. The right to cancel an advance order in section 17 of the CPA and the cooling-off period in section 44 of ECTA do not apply to goods made to your specification or clearly personalised. This does not affect a consumer’s right under section 16 of the CPA to cancel within 5 business days after a sale that resulted from direct marketing, as our Refunds and Returns Policy explains.

Cooling-off for online purchases

If you are an individual buying for your own use and you bought goods from us electronically, on the website or by e-mail, you may cancel within 7 days after receiving them, without giving a reason and without penalty (section 44 of ECTA). The only cost to you is the direct cost of returning the goods. We refund what you paid within 30 days of the cancellation. This right does not apply to branded goods or other goods made to your specification or clearly personalised, or to goods likely to deteriorate or expire rapidly (section 42 of ECTA). The Refunds and Returns Policy explains how to cancel and return goods.

When we cancel

If we cannot supply goods you ordered, for example because a supplier has run out of stock, we tell you as soon as we know and offer an alternative if there is one. If you do not accept it, we refund what you paid for those goods within 30 days. Consumers keep their rights under section 47 of the CPA.

Defects and returns

Our Refunds and Returns Policy sets out how to report a defect, return goods and receive a refund. It forms part of these terms.

Consumers may return goods that are defective, unsafe or not fit for their usual purpose within six months of delivery, and choose a repair, a replacement or a refund (section 56 of the CPA).

Branded goods that match the proof you approved, within the tolerances under Colour, size and placement, are not defective.

Limitation of liability

Please read this section carefully. It limits our liability to you.

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for loss caused by our gross negligence or deliberate wrongdoing, for harm caused by goods under section 61 of the CPA, or for anything else that the law does not allow us to limit.

Subject to that:

  • We are not liable for loss caused by artwork, information or instructions you gave us, or by an error in a proof you approved.
  • We are not liable for loss caused by an event outside our control, as described below.
  • If you are not a consumer, we are not liable for indirect or consequential loss, including loss of profit, loss of business or the cost of a missed function or campaign, and our total liability for an order is limited to the price paid for the goods or services concerned.
  • If you are a consumer, we are not liable for loss that was not a reasonably foreseeable result of our breach when the order was placed.

Events outside our control

We are not in breach if an event outside our reasonable control delays or prevents us from performing, such as a power or network outage, fire, flood, strike, civil unrest, a pandemic, a government order, a supplier’s or courier’s failure, or a delay at a port. An event is not outside our control if it results from our own failure to run our business properly.

We tell you as soon as we can and perform once the event ends. If it lasts more than 30 days, either of us may cancel the part of the order not yet produced, and we refund what you paid for that part.

Privacy and access to information

We process personal information in line with the Protection of Personal Information Act 4 of 2013 (POPIA), as set out in our Privacy Policy.

Our PAIA manual explains which records we hold and how to request them under the Promotion of Access to Information Act 2 of 2000. The request for access page explains how to make a request, and the outcome of request page explains how we reply and which fees apply.

Using the website

  • Product images, colours and descriptions come largely from our suppliers and show the product without your branding. If an exact colour or specification matters, ask us to confirm it before you order.
  • A product shown on the website is not a promise that it is in stock. We confirm stock when we accept your order.
  • Product and supplier brand names and trademarks belong to their owners. The website’s own text, design and images belong to Lema or to those who licensed them to us. You may not copy them for commercial use without our written permission.
  • Do not use automated tools to copy prices or content from the website, or try to reach parts of it that your account does not give you access to. We may suspend or close an account that breaks these terms.
  • Other websites we link to, including Ozow’s payment page, have their own terms.

Complaints and disputes

If something goes wrong, contact us first through the contact page or the details under Company information, and we will try to resolve it with you. A consumer who is not satisfied with our answer may refer the complaint to the Consumer Goods and Services Ombud (www.cgso.org.za) or the National Consumer Commission.

Governing law

South African law governs these terms and every order under them, and South African courts have jurisdiction.

General

  • If a court finds any part of these terms unenforceable, the rest still applies.
  • If we do not enforce a term straight away, we can still enforce it later.
  • We may update these terms. The version on this page when you place an order applies to that order, and the date at the top shows when the terms last changed.
